1. Who these terms apply to
These Seller Terms apply to any organisation or individual (“Seller”) that registers to list data products on the revolution.fan Data Marketplace operated by Token Events, Inc. (“Company”). They supplement the general Terms of Service and the Privacy Policy; where they conflict on matters specific to selling, these Seller Terms govern.
2. Seller eligibility and verification
A Seller must be a legal entity or an individual over 18 with authority to bind the entity registering. The Company verifies seller accounts before any listing is made available to buyers, and may decline or revoke seller status at its discretion, including where a listing’s description does not match the data it delivers.
3. What the Seller warrants about its data
The Seller represents and warrants, for every data product it lists, that:
(a) it has the lawful right to license the data, including a valid legal basis for any personal data it contains;
(b) it has obtained any consent required from data subjects, and that consent extends to onward disclosure through a marketplace;
(c) the listing’s description, freshness claims, record counts and provenance statements are accurate and not misleading;
(d) the data does not include special-category data under GDPR Article 9, data relating to persons known to be under 16, or data obtained in breach of any third party’s terms;
(e) it will promptly notify the Company of any withdrawal of consent, deletion request, or other event that renders listed data unlawful to continue supplying.

4. The Company's obligations to the Seller
The Company will: present listings to verified buyers only; enforce its own k-anonymity and sensitivity controls on delivery; maintain an audit log of queries against the Seller’s products; and report query volumes and attributable revenue in the seller dashboard.

5. Fees and payment
The Company retains a platform fee on marketplace revenue. The applicable rate, and the payout schedule and minimum, are those stated in the seller dashboard at the time a listing is created, and the Company will give notice before changing them for existing listings.
Payouts are made to the payment account the Seller connects. The Seller is responsible for its own tax obligations, and for the accuracy of any tax information it provides.

6. Data protection
Where the Seller supplies personal data, the Seller is a controller of that data and is responsible for its own compliance. The Data Processing Agreement sets out the controls the Company applies on delivery and the obligations imposed on buyers, including the prohibition on attempted re-identification.
The Seller will respond to any data subject request that concerns data it supplied, and will notify the Company without undue delay of any personal data breach affecting that data.

7. Suspension and termination
Either party may terminate on 30 days’ notice. The Company may suspend or remove a listing immediately where it has reasonable grounds to believe the listing breaches section 3, is unlawful, or is the subject of a credible third-party complaint. Fees earned before termination remain payable.
On termination the Company will cease making the Seller’s products available to new queries. Data already delivered to buyers is governed by the buyer’s obligations under the DPA.

8. Liability and indemnity
The Seller will indemnify the Company against third-party claims arising from the Seller’s breach of section 3, including claims by data subjects or supervisory authorities relating to data the Seller supplied.
Neither party is liable for indirect or consequential loss. Each party’s aggregate liability under these terms is limited to the fees paid or payable in the twelve months preceding the claim, except in respect of the indemnity above, breach of confidentiality, or liability that cannot lawfully be limited.

9. Changes and governing law
The Company may update these terms on notice to registered Sellers. Continued listing after the effective date constitutes acceptance. These terms are governed by the laws of the State of Delaware.
